Reading a Commercial Contract: Clauses Worth a Second Look

Payment terms, liability, termination and dispute resolution often matter most when something goes wrong.

Most commercial contracts work well until something unexpected happens. At that point, a handful of clauses tend to decide how the situation is resolved.

Payment and delivery

Check amounts, deadlines, invoicing steps and what happens when payment or delivery is late.

Liability and indemnities

Look at any limits on liability and who bears which risks. Broad indemnities deserve particular attention.

Termination

Understand how and when each party may end the agreement, and what consequences follow.

Governing law and disputes

Identify which law applies and how disputes will be resolved, whether through courts, arbitration or mediation.
